(the “Site”) operated by Gravick Group LLC (“Gravick,” “we,” “us,” or “our”), you agree to these Terms of Use (the “Terms”) and our Privacy Policy. If you do not agree, do not use the Site.

WHO WE ARE & WHAT THIS COVERS
The Site provides information about Gravick’s supply-chain consulting and technology solutions, including GARS (Gravick Advanced Reporting System), Guardian 4.0, and related services. These Terms govern your use of the public-facing Site. (Access to any client portals, applications, or services may be subject to separate contracts or license terms between you/your organization and Gravick.)

CHANGES TO TERMS
We may update these Terms at any time. Updates are effective upon posting with the “Last Updated” date above. Your continued use of the Site means you accept the revised Terms.

ELIGIBILITY & ACCOUNT SECURITY
You must be at least the age of majority in your jurisdiction to use the Site. If the Site enables account creation, you: (a) agree to provide accurate information, (b) are responsible for safeguarding your credentials, and (c) accept responsibility for all activities under your account.

PERMITTED USE & LICENSE
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful, informational purposes only. Any scraping, automated access, reverse engineering, or use that overloads or degrades the Site is prohibited.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAVICK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA; OR BUSINESS INTERRUPTION, EVEN IF FORESEEABLE OR ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR LIABILITY; IN SUCH CASES, OUR LIABILITY WILL BE THE MINIMUM REQUIRED BY LAW.

INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Gravick and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Site, (b) your violation of these Terms, or (c) your violation of any law or third-party right.

EXPORT, SANCTIONS & ANTI-CORRUPTION
You represent that you are not located in, under the control of, or a national/resident of any country or entity subject to U.S. sanctions. You agree to comply with all applicable export control, anti-boycott, and sanctions laws, and with anti-bribery/anti-corruption laws (including the U.S. FCPA and UK Bribery Act) in connection with any use of the Site.

DMCA/COPYRIGHT COMPLAINTS
If you believe content on the Site infringes your copyright, please send a notice including: (1) your contact details; (2) identification of the copyrighted work; (3) identification of the material and its location on the Site; (4) a statement of good-faith belief that use is not authorized; (5) a statement under penalty of perjury that the information is accurate and that you are the copyright owner or authorized agent; and (6) your physical or electronic signature. TERMINATION
We may suspend or terminate your access to the Site at any time and for any reason, including if we believe you have violated these Terms. Upon termination, Sections 7–8 and 10–22 survive.

GOVERNING LAW; VENUE
These Terms and any dispute arising out of or related to the Site are governed by the laws of the State of Texas, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Bexar County, Texas, for all disputes not subject to arbitration (if applicable).

OPTIONAL ARBITRATION & CLASS-ACTION WAIVER (BUSINESS USERS)
If you are using the Site on behalf of a business, at Gravick’s election any dispute arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration will be San Antonio, Texas, and the language will be English. YOU AND GRAVICK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. If a court finds this class-action waiver unenforceable, this Section 21 will be severed and the dispute will proceed in court (Section 20).

FORCE MAJEURE
We are not liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, labor disputes, utility failures, cyber incidents, or government actions.

SEVERABILITY; WAIVER; ASSIGNMENT
If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them without notice in connection with a merger, acquisition, or asset transfer.

ENTIRE AGREEMENT
These Terms (together with the Privacy Policy and any applicable portal/service agreements) constitute the entire agreement between you and Gravick regarding the Site and supersede all prior or contemporaneous communications on that subject.
